1. Who We Are And What These Terms Cover
These proposed terms govern software, WHMCS modules and custom development supplied by HERZA, LTD, 71-75 Shelton Street Covent Garden, London, WC2H 9JQ, United Kingdom. Commercial ordering is not yet enabled on this website. A binding purchase requires an accepted order identifying the product, fees and applicable terms. Product-specific licence terms and a signed statement of work take precedence for their subject matter; mandatory legal rights always prevail.
2. Orders, Pricing And Payment
Prices, currency, taxes, licence duration, renewal amounts and payment timing must be shown before an order is accepted. No recurring charge is authorised merely by browsing this website. Subscription renewal and cancellation mechanics will be disclosed at checkout. A quote is subject to its stated validity and acceptance conditions. We may decline an order before acceptance and return any payment taken for it.
3. Software Licence
Unless the accepted order states otherwise, payment grants a non-exclusive, non-transferable licence to use the purchased module on one WHMCS installation for the stated licence term. Ownership of the software and pre-existing intellectual property remains with HERZA or its licensors. Additional production or staging installations require the entitlements specified in the order. Do not redistribute, sublicense, resell or bypass licence controls, except where applicable law expressly allows it. Reissues and installation transfers are subject to the product’s stated process.
4. Delivery, Compatibility And Updates
Software is delivered digitally through the agreed channel after payment and any necessary order checks. Review the supported WHMCS, PHP, ionCube and provider versions before purchasing; only expressly listed configurations are supported. Back up and test changes in staging before production deployment. Update and support eligibility, encoded or source-code delivery, and any dependency costs must be stated in the product order. Third-party changes may require an update and are not automatically included in a fixed-price development scope.
5. Support And Defects
Support covers the scope and period specified in the order. No response-time guarantee or service-level agreement applies unless expressly agreed. Report reproducible faults with relevant version information and redacted logs. We will assess faults against the agreed specification and provide the remedies required by contract and applicable law. New features, unrelated infrastructure work and unsupported customisations may require a separate quote.
6. Cancellation And Refunds
For business purchases, cancellations and voluntary refunds are governed by the accepted order; no blanket money-back guarantee is advertised here. If you purchase as a consumer, applicable cancellation and digital-content rights remain intact. Where immediate digital supply is requested, loss of the statutory cancellation right requires your express consent and acknowledgement before delivery and the legally required confirmation. For services started during a cancellation period at your express request, lawful proportionate charges may apply. Faulty or misdescribed digital content remains subject to mandatory remedies; this clause does not remove them.
7. Custom Development
A written statement of work must define deliverables, assumptions, milestones, fees, acceptance tests, review periods and dependencies before development begins. Changes require agreement on schedule and fees. Intellectual-property transfer, source delivery and third-party components must be expressly specified; paying a development invoice does not by itself transfer all background tools or libraries. Confidential information must be protected and used only for the project. Production access and processing of customer data require appropriate written permissions and data-protection arrangements.
8. Your Responsibilities
You are responsible for lawful use, licensed third-party systems, accurate instructions, backups and access security. Do not use our products for unlawful access, abuse, infringement or disruption. Provide only the data and access necessary for agreed work and revoke temporary credentials afterwards. Third-party subscriptions, hosting and infrastructure remain your responsibility unless included in writing.
9. Suspension And Termination
We may suspend a licence for material breach, non-payment or a substantiated security threat, giving notice and a reasonable opportunity to remedy where practicable. Urgent protective action may be taken where necessary. Termination effects depend on the licence type and accepted order; accrued rights and mandatory remedies survive. We will not remotely delete your customer data as a licence-enforcement measure.
10. Liability
Nothing excludes liability for fraud, fraudulent misrepresentation, death or personal injury caused by negligence, or any liability that cannot lawfully be limited. For business customers only, and to the extent lawful, aggregate liability relating to an affected order is limited to fees paid under that order in the preceding 12 months; indirect or consequential losses and lost profit are excluded. This limit does not restrict mandatory consumer rights. Any different negotiated limit must be written in the order.
11. Law, Disputes And Changes
These terms are governed by the law of England and Wales, with its courts having jurisdiction, subject to any mandatory consumer protection and right to bring proceedings elsewhere. Please first raise a dispute with HERZA using the contact details above so we can try to resolve it. Changes apply prospectively and do not retrospectively alter an accepted order without agreement or a lawful basis. WHMCS, TrueNAS, FreeRADIUS and MikroTik are third-party names; listing compatibility does not imply endorsement.
